1. Acceptance of Terms
By accessing or using the services provided by StackOverCode ('Company', 'we', 'us', or 'our'), you agree to be bound by these Terms of Service ('Terms'). If you do not agree to these Terms, you may not access or use our services. These Terms apply to all visitors, users, and others who access or use our services.
2. Description of Services
StackOverCode provides enterprise technology consulting, software development, database management, cloud infrastructure, and AI solutions. Our services are designed for businesses and organizations seeking professional technology partnerships. The specific scope, deliverables, and terms of any engagement will be detailed in a separate Statement of Work or service agreement.
3. User Responsibilities
You agree to provide accurate and complete information when engaging our services, communicate requirements and feedback in a timely manner, maintain the confidentiality of any credentials or access provided to you, use our services only for lawful purposes and in compliance with applicable laws, and not interfere with or disrupt the integrity or performance of our services.
4. Intellectual Property
Unless otherwise specified in a separate agreement, all intellectual property rights in materials, methodologies, tools, and pre-existing work used by StackOverCode remain our property. Client-specific deliverables created under a paid engagement are typically assigned to the client upon full payment, as specified in the applicable service agreement. Our website content, logos, and branding remain our exclusive property.
5. Confidentiality
Both parties agree to maintain the confidentiality of proprietary information shared during the course of our engagement. This includes business strategies, technical specifications, customer data, and any other information designated as confidential. Confidentiality obligations survive the termination of any engagement for a period of three (3) years.
6. Payment Terms
Payment terms, including rates, milestones, and due dates, will be specified in the applicable service agreement or Statement of Work. Unless otherwise agreed, invoices are due within thirty (30) days of receipt. Late payments may be subject to interest charges and suspension of services. All fees are non-refundable unless otherwise specified in writing.
7. Warranties and Disclaimers
We warrant that our services will be performed in a professional and workmanlike manner consistent with industry standards. EXCEPT AS EXPRESSLY PROVIDED HEREIN, OUR SERVICES ARE PROVIDED 'AS IS' WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. We do not guarantee that our services will be uninterrupted, error-free, or completely secure.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, STACKOVERCODE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES. Our total liability for any claim arising out of or related to these Terms or our services shall not exceed the total fees paid by you to us in the twelve (12) months preceding the claim.
9. Indemnification
You agree to indemnify, defend, and hold harmless StackOverCode and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of our services, your breach of these Terms, or your violation of any third-party rights.
10. Termination
Either party may terminate an engagement as specified in the applicable service agreement. We reserve the right to suspend or terminate access to our services immediately if you breach these Terms. Upon termination, you must pay all outstanding fees for services rendered. Provisions that by their nature should survive termination shall remain in effect.
11. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising out of or related to these Terms shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
12. Changes to Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the 'Last Updated' date. Your continued use of our services after such changes constitutes your acceptance of the revised Terms. It is your responsibility to review these Terms periodically.
